Terms of Service
Last updated: September 12, 2026
These Terms of Service ("Terms") govern access to Leapfrog, leapfrogerp.com, and the associated applications, portals, APIs, integrations, and related services (the "Services") provided by Zira Group Inc. ("Zira," "we," "us," or "our"). Leapfrog is a product name, not a separate contracting entity under these Terms.
By accepting these Terms or using the Services, you agree to them. If you act for a company or other organization, you represent that you can bind that organization, and "you" or "Customer" means that organization. If you lack that authority or do not agree, do not use the Services.
1. Agreements and scope
A separately executed agreement or order form may govern your subscription. Where it conflicts with these Terms, that agreement controls for the Services it covers. An applicable data processing addendum controls with respect to its subject matter. These Terms do not replace existing signed customer agreements merely because a user visits the Leapfrog website.
Our Privacy Policy explains how we handle personal information. Feature-specific terms presented and accepted when a feature is enabled also apply to that feature. The available modules, capacity, support, and any service commitments are those stated in the applicable plan or agreement.
2. Accounts and organizational access
You must be at least 18 and legally able to enter into a contract to create an account. Provide accurate information and keep it current. You are responsible for safeguarding credentials, administering access, and the activities of users you authorize. Notify us promptly of suspected unauthorized access.
Customer administrators may manage workspace membership, permissions, integrations, and Customer Data. If you use an account through your employer or another organization, that organization may control the account and access its business records according to its permissions and policies.
Do not impersonate another person, use another party's identity or trademarks without authority, or share credentials in a way that circumvents access or subscription limits. We may request information reasonably needed to confirm account ownership or authority.
3. Leapfrog and permitted use
Leapfrog provides configurable business software that may include CRM, ERP, reporting, integration, and AI-assisted workflow features. Subject to these Terms and your plan, we grant you a limited, nonexclusive right to use the Services for your business purposes during the applicable service term.
You are responsible for selecting and testing the settings, business rules, permissions, and integrations suitable for your operations. Features described in demonstrations or development plans are not guaranteed deliverables unless included in your agreement.
4. Purchases and billing
You agree to pay the charges disclosed in your order, checkout, or applicable plan, including authorized subscription and usage charges and applicable taxes, excluding taxes on our net income. You represent that you may use the payment method you provide and authorize charges you have agreed to incur. Payment providers may process payment information subject to applicable privacy notices.
Provide complete and current billing information. If a payment fails, we may request an alternative method or issue an invoice due on the stated date. We may reject or cancel an order affected by an availability problem, material pricing error, suspected fraud, or an unauthorized transaction. If we cancel a prepaid order before providing the purchased service, we will return the amount paid for the canceled portion.
5. Subscriptions and renewal
Paid subscriptions are billed according to the monthly, annual, or other billing cycle disclosed when you subscribe. Where automatic renewal is disclosed and accepted, the subscription renews for the stated period unless you cancel renewal or we end the subscription in accordance with these Terms.
Unless your signed agreement or an expressly accepted order specifies a different notice period, you may cancel renewal before the next renewal date through the account controls made available for your plan or by contacting sales@zira.us. Cancellation takes effect at the end of the current paid period. You remain responsible for authorized charges incurred before it takes effect.
Stopping use, disconnecting an integration, or removing a payment method does not itself cancel a subscription. Any longer cancellation notice requirement must be stated in the applicable agreement or order. Mandatory cancellation or renewal rights under applicable law continue to apply.
6. Free plans trials and usage charges
We may offer free plans, trials, promotional allowances, or beta features with stated limits. A free plan does not mean every feature, AI request, integration, storage allocation, or future service is free. Paid upgrades and usage charges must be disclosed before you authorize them.
Where a trial converts to a paid subscription, the duration, price, billing cycle, and cancellation method will be disclosed when you enroll. We will charge after the trial only if you authorized that conversion and have not canceled in time, subject to applicable law. We may change or discontinue future free offers and provide any notice required by law or the offer.
AI and other metered features may be charged by requests, credits, processing, storage, or another unit stated in the plan. Background automations and integrations you enable can also consume paid usage. You are responsible for usage within the authorization you have given and for configuring available limits. Any direct charges from a third-party account you connect are governed by your agreement with that provider.
7. Price changes and refunds
Changes to recurring subscription prices take effect at a renewal after reasonable advance notice, unless otherwise agreed or required by law. Changes to metered rates apply prospectively after the applicable notice. We do not retroactively change the rate for usage already incurred. You may cancel renewal before a new subscription price takes effect.
Refund requests are considered individually unless the applicable agreement, promotion, or law provides otherwise. Canceling renewal does not automatically create a right to a refund for the current paid period or usage already consumed. Nothing in these Terms limits a refund right that cannot lawfully be waived.
8. Customer Data and ownership
"Customer Data" means information you or your authorized users submit, connect, or generate through the Services, including business records, communications, files, prompts, configurations, and customer-specific outputs. You retain your rights in Customer Data. We do not acquire ownership merely because you use Leapfrog.
You give us a nonexclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Data as necessary to provide, maintain, secure, and support the Services and perform your documented instructions. Any use to improve the Services remains subject to the Privacy Policy, your agreement, and applicable source-provider restrictions. This license permits necessary processing by providers acting for us; it does not authorize selling your records or making them available to unrelated customers.
As between you and Zira, and to the extent permitted by law, you may use customer-specific outputs generated for you through the Services. AI outputs may be similar to other outputs and may not qualify for exclusive intellectual property rights. You are responsible for checking third-party rights before using an output.
Zira and its licensors retain rights in the platform, underlying software, reusable building blocks, general templates, tools, documentation, models, and other preexisting or independently developed technology. These Terms do not promise transfer of the platform's source code or a right to host it independently. Separate licensing terms control any code or materials expressly supplied under them.
9. Confidentiality and information handling
We use nonpublic Customer Data only as permitted by these Terms, the Privacy Policy, your agreement, and your instructions. Access may be provided to personnel, affiliates, and service providers who need it for an authorized purpose and are subject to appropriate confidentiality obligations. Legally required disclosures and other permitted disclosures are described in the Privacy Policy and applicable agreement.
You are responsible for having the rights and legal basis needed to supply Customer Data and direct its processing, and for giving required notices to employees, contacts, customers, suppliers, and other individuals. This includes permissions for recordings, workplace information, and outbound communications. Use data processing terms appropriate to your deployment where required.
Do not upload passwords for unrelated accounts, full payment card details, health information subject to special legal requirements, biometric identifiers, or other specially regulated information unless the relevant feature expressly supports that information and all required agreements and safeguards are in place.
10. AI assistance and automated actions
AI may help create configurations, summarize information, propose business actions, generate content, or execute workflows you authorize. Outputs are probabilistic and may contain omissions, factual errors, inappropriate recommendations, or faulty logic. Review and test them before relying on them in your operations.
You remain responsible for your business decisions and for validating accounting entries, invoices, inventory changes, orders, schedules, communications, permissions, and other consequential actions. AI assistance is not legal, tax, accounting, investment, or other regulated professional advice.
Where you authorize an automation, it may take the actions described by that authorization without asking again for each execution, subject to applicable provider rules and required consent. Configure access and approval rules accordingly and monitor results. These Terms alone do not authorize access to a connected account, the sending of a message, or a transaction on your behalf.
We do not use or authorize providers to use Customer Data to train unrelated third-party or general-purpose AI models without your express authorization and any additional permission required by law or a source provider. Restricted Google data is subject to the stricter rules in the Privacy Policy regardless of a general authorization. Receiving AI assistance does not by itself authorize generalized model training.
The standard Services are not intended for emergency response or for solely automated decisions about individuals with legal or similarly significant effects. Do not use them for such purposes without our separate written agreement and all required notices, assessments, rights, and safeguards.
11. Integrations and third parties
You choose whether to enable integrations and are responsible for having authority to connect the accounts and resources involved. Subject to the permissions granted and required disclosures, we may exchange information with those providers and perform the authorized actions. Their terms, privacy practices, fees, and availability also apply.
Independent providers may change or discontinue their services, which can affect an integration. We do not control independent providers and are not responsible for their acts or omissions except to the extent required by law or an express agreement. This does not remove our obligations for providers processing data on our behalf.
Revoke access through the provider or available Leapfrog controls when it is no longer needed. Revoking a connection does not automatically delete imported records or cancel your Leapfrog subscription. Customer-directed sharing and outbound messages may create copies outside Leapfrog that we cannot recall.
12. Acceptable use
You must not use the Services to:
- Violate applicable law, infringe intellectual property or privacy rights, or process information without authority.
- Send unlawful or unauthorized marketing, spam, deceptive messages, or recordings made without required notice or consent.
- Gain unauthorized access, expose credentials, introduce malicious code, or interfere with the Services or another customer's data.
- Bypass usage limits, payment requirements, security controls, or the restrictions of a connected provider.
- Reverse engineer protected components except where applicable law permits, or resell access outside an arrangement we expressly authorize.
- Conduct unlawful surveillance, biometric identification, discriminatory profiling, or other prohibited decisions about individuals.
You must follow applicable provider policies, including restrictions on data use and communications. We may investigate suspected misuse and take proportionate action to protect the Services and affected parties.
13. Availability and service changes
The Services may be changed, updated, or temporarily interrupted. We may correct inaccurate descriptions, pricing, or other information. Availability, support levels, and service credits are governed by any applicable written commitment; these Terms alone do not create an uptime guarantee.
We may offer experimental or beta functionality with additional limitations disclosed at the time. Test new configurations and integrations before using them for critical operations. You are responsible for retaining independent copies of records needed for your legal and business obligations. Service backups, if maintained, are not a guarantee that every deleted or altered record can be recovered.
14. Suspension termination and data return
We may suspend or end access for a material breach, unpaid charges, unlawful use, a material security risk, or where required by law. Where reasonably practicable, we will give notice and an opportunity to address a remediable issue. Immediate action may be necessary to prevent harm or comply with law. Any separately agreed termination protections continue to apply.
You may stop using the Services or request account closure at any time. Subscription cancellation and payment obligations remain governed by Sections 5 through 7 and your agreement. We may discontinue a free service or decline a future renewal with notice appropriate to the circumstances and applicable law.
Before service ends, export or request a copy of Customer Data you need to retain. Available return methods, any post-termination access, and deletion follow your agreement, applicable law, and backup cycles. These Terms do not promise indefinite storage or a fixed post-termination retrieval period. Required legal or security records may be retained as permitted by law and the agreement.
Terms that are intended to continue after termination remain effective, including accrued payment obligations, ownership, confidentiality, indemnification, liability limitations, and governing law.
15. Indemnification
To the extent permitted by law, you will defend and indemnify Zira, its affiliates, and their officers, employees, agents, licensors, and providers against third-party claims, resulting liabilities, and reasonable costs, including legal fees, arising from your unlawful use of the Services, your infringement of third-party rights through Customer Data, or your material breach of these Terms.
We will notify you of a claim, provide reasonable cooperation at your expense, and allow you to control the defense using appropriate counsel. You may not settle a claim in a way that admits fault by us or imposes obligations on us without our written consent. This provision does not require you to indemnify us for claims to the extent caused by our own unlawful conduct or breach.
16. Warranties and liability
Except for an express commitment in a signed agreement or a right that cannot lawfully be excluded, the Services are provided "as is" and "as available." To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant uninterrupted or error-free operation, the accuracy of AI outputs, or that the Services will meet every customer requirement.
To the maximum extent permitted by law, Zira, its affiliates, and their personnel, licensors, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or other intangible losses arising from use of or inability to use the Services, regardless of the legal theory and even if advised that such loss was possible.
Some jurisdictions do not permit particular exclusions or limitations. Nothing in these Terms excludes liability or a statutory right that cannot legally be excluded. Any liability cap or different allocation of risk in a signed customer agreement continues to govern the Services covered by that agreement.
17. Governing law and general terms
California law governs these Terms, without its conflict-of-law rules, except where mandatory law requires otherwise. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
These Terms, accepted feature terms, and applicable orders form the agreement for the Services, subject to the priority of separately executed agreements described in Section 1. Notices may be provided through the Services or the contact information associated with your account where legally permitted. Keep that information current.
18. Updates and contact details
We may update these Terms and will publish the revised text with a new date. Material changes will be notified as required by law and any applicable agreement. Changes apply from the stated effective date, and we obtain renewed acceptance when required. If you do not accept a change, stop using the affected Services and exercise any cancellation rights available to you. Existing signed agreements remain subject to their own amendment requirements.
